Our principles 

At schlott gruppe, corporate governance means being aware of our responsibilities with regard to the management and control of the company. It is an integral part of the way we see ourselves and of our commitment to generating a sustained, longterm increase in value throughout the entire organisation.

It is our belief that we also benefit from good corporate governance where it is based on:

  • mutual trust and effective collaboration between the Management and Supervisory Boards;
  • a positive relationship with our shareholders and due regard for their interests;
  • open, transparent and timely communications both within and outside the organisation.

In order to continuously strengthen the confidence of shareholders, investors, customers,  suppliers, employees and the general public in the company’s senior management, all those charged with management and control duties within schlott gruppe are expected to comply with these principles.

Applying the principles of Corporate Governance at schlott gruppe
schlott gruppe AG is a joint stock company under German law. As such, its activities are controlled by a Management Board and a Supervisory Board. These governing bodies work closely together to promote the interests of the organisation and to this end maintain an intensive, ongoing dialogue – one that we constantly strive to improve as a means of boosting efficiency.

The Management Board and Supervisory Board of schlott gruppe meet regularly to discuss the issue of corporate governance in detail. With only a few exceptions, we comply with the recommendations and nonbinding suggestions of the German Corporate Governance Code and apply almost all the relevant nationally and internationally accepted standards of responsible business management.

The management and control of schlott gruppe are based on compliance with legislation and with the guidelines of the German Corporate Governance Code which provides an accepted set of criteria for the good management of German listed companies. There are no circumstances specific to our organisation or to the industry that would require us to draw up our own code.
